Law Insider Offers Free Cloud Services Agreement Template

  •

Law Insider has launched oneSaaS -- a downloadable, open-source, industry-backed standardized template for cloud services agreements readily available on their website for organizations of any size. This template was created by analyzing public SaaS agreements along with input from hundreds of legal professionals and software-as-a-service providers.

Software-as-a-Service (SaaS) and Cloud Services Agreements define the terms of use, data security, service levels, and responsibilities between a SaaS provider and a customer. It outlines the terms and conditions under which the software and related cloud services will be provided and used. This agreement is an extremely important transaction, as it protects both parties' interests, provides clarity and expectations regarding the service and its performance, and it helps mitigate risks by addressing potential issues like data breaches, service outages, and disputes. Read more on Software as a Service (SaaS) Agreements from this Thomson Reuters' blog.

oneSaaS's template touches upon many aspects, including but not limited to: key terms, services and usage, payment terms, data and suspension, usage and limitations, special provisions, supplemental documents, rules of interpretation, data and security, intellectual property rights, warranties, limitation of liability, indemnities, confidentiality, and more. The template comes as a microsoft word document, so the template is fully customizable and also offers drafting notes.

Is the template not exactly what you're looking for? Feel free to reach out to our librarians who can assist you with finding alternative sample SaaS agreements, practical notes, or checklists. For highly specialized or complex agreements, consult an attorney to determine if one SaaS is suitable.
